TerraMyth Terms of Service
TerraMyth LLC (“we,” “our,” or “us”) respects your business and is committed to protecting your intellectual information. This Terms of Service explains confidentiality, additional expenses, Rights/Ownership/Usage, Late Payments, & Indemnification that apply to all purchased products and when you visit our websites, and any subdomains within our websites: TerraMyth.com (collectively, the “Sites”).
When either 1.) using our website or any of its subdomains https://www.terramyth.com, 2.) purchasing a product from us, or 3.) managing an already purchased product with us; you agree to the terms of service outlined below.
We encourage you to read this Terms of Service carefully to understand our practices regarding your order fulfillment. By accessing or using our Sites, you acknowledge that you have read and understood this Terms of Service.
Confidentiality
TerraMyth LLC acknowledges that it shall maintain the confidentiality of all information and documentation belonging to Clients, which was obtained by or disclosed to TerraMyth LLC or its team, by Clients or their Agents. Confidential information is that which relates to Client’s or TerraMyth LLC’s written or oral contracts, notes, research, development, trade secrets, process, financial information, process documentation, product, pricing system, or business affairs; it does not include information that is generally known or easily ascertainable by third parties. TerraMyth LLC and Client shall mutually respect and maintain each other’s confidential information and shall use it only to perform their respective obligations. For the avoidance of doubt, confidential information does not include information which is public knowledge, was in the recipient’s possession before receipt, or is independently developed by the recipient. Confidentiality shall survive the termination of this contract, unless required to disclose confidential information by law or order of a court, administrative agency, or other governmental body.
Additional Expenses
Clients shall reimburse TerraMyth LLC for reasonable out-of-pocket expenses incurred for Client’s account in connection with TerraMyth LLC’s rendition of services including, but not limited to: domain registration, written content copyright, image and video creation, website hosting, custom plugin subscriptions, etc. Clients will be notified in advance for pre-approval of any additional expenses. Clients agree to either pay such fees directly to the third-party vendor or reimburse TerraMyth LLC upon presentation of invoice, receipt, or quote. TerraMyth LLC shall maintain records of all expenses subject to reimbursement.
Rights, Ownership, and Usage
All technologies and Intellectual Property included will continue to belong exclusively to TerraMyth LLC. All data, workflows, and processes that are confidential to Clients will remain the property of Clients.
Subject to TerraMyth LLC receiving full payment under this Agreement, TerraMyth LLC will assign to Clients all right, title and interest in the final work product delivered to Client under this Agreement and any associated Agreements, except that:
- Client hereby grants TerraMyth LLC, and the team who worked on the applicable project the right to use the name and service mark of Client in its marketing materials including oral, electronic, or print promotions, naming Client as a client of TerraMyth LLC and the applicable Independent Contract and a brief scope of services provided. If Client does not grant permission, written notice must be provided to TerraMyth LLC within fifteen (15) days of the SOW being signed.
- Any use of TerraMyth LLC’s logos or links must be approved in writing by an authorized representative of TerraMyth LLC.
- TerraMyth LLC shall own and retain all rights to any and all concepts, templates, ideas, designs, proposals and other work and materials (collectively, “Work”) which have been presented to Client but not included in the final work product.
- TerraMyth LLC shall own and retain all rights to any technology, technical documentation, inventions, algorithms, software, architecture, logic, navigation, process, project management documentation, process documentation, 3D modeling files, animation files and other source files for front-end deliverables, computer programs, source codes, game engines, or other backend and background elements, files and features incorporated into or utilized by the Work (collectively, “Background Technology”). Use of Background Technology for any other project, on any other website or in any other medium shall be subject to additional fees and licenses which may be granted or withheld by TerraMyth LLC in its sole discretion.
Late Payments
Payments not made within such agreed-upon time shall be subject to late charges equal to 5% of the outstanding balance per month after 30 days of non-payment, charged at the end of each month. TerraMyth LLC shall be entitled to all of its costs of collection of amounts outstanding hereunder, including, but not limited to, the fees of its attorneys incurred in the collection of any amounts due to TerraMyth LLC by Client. Should Client fail to make payment in accordance with this Agreement, TerraMyth LLC shall have the right to withhold delivery of any materials and/or suspend performance of any services required to be performed under this Agreement or any applicable SOWs. TerraMyth LLC shall not be liable for any damages, losses, or liabilities that may arise out of TerraMyth LLC’s suspension of performance and/or withholding of materials due to Client’s non-payment for these Services.
Limit on Liability & Indemnification
The maximum liability of either Party under any theory of law (including breach of contract, tort, strict liability, and infringement) for harm to TerraMyth LLC and/or Client arising from or related to this SOW shall be the amount paid and payable by the other, if any, under this SOW, and in no event shall either of them be liable for any consequential, exemplary, special, indirect, incidental or punitive damages, including any lost profit or lost savings (whether resulting from impaired or lost data, software or computer failure or any other cause), even if TerraMyth LLC has been advised of or should be aware of the damages and even if any warranty fails of its essential purpose. Parties will indemnify and hold each other harmless and its employees from any damages, liabilities, judgments, fines, penalties, costs, and expenses (including reasonable attorney fees) that arise from or relate to any claim brought by or through a Party’s End User, customer or other third-party claim alleging breach of any agreement, violation of law, negligence, or misconduct and vice versa. Each Party will defend an indemnified claim at its expense.
